I. Introduction

Art.1. (1) Shelly Europe Ltd. provides a Shelly X Portal part of Shelly X Ecosystem, which enables the user to configure Shelly X Modules by creating Products through the functionalities of the Shelly X Portal under the terms and conditions set forth below.

(2) We also have Privacy Policy and Cookie Policy and may have other legal statements and conditions applicable to various activities on Shelly X Portal, including but ot limited to terms and conditions that may apply to your use of Shelly X Portal (Special documents). All the foregoing is incorporated herein by reference, and shall, together with these General Terms and Conditions of using Shelly X Portal (“the Terms”) govern your access to and use of Shelly X Portal and are a binding agreement between Shelly Europe Ltd. and You or the entity you represent (“You” or “Your”). If any of the Special documents are inconsistent with these General Terms and Conditions, those Special documents shall prevail.

II. Definitions

Art.3. The following words and expressions when commencing with a capital letter (including when used with a definitive article and/or used in plural) shall have the meaning and content stated herein unless the context requires otherwise:

1. You/Your/s - collectively for Visitor or Service User according to the context in which it is used.

2. Visitor - any person, who is visiting our marketing website

3. Service User/You - any person (irrespective individual or legal entity) who has registered an account in Shelly X Portal and uses Shelly X Service on his behalf or on behalf of the company he represents.

4. Service Provider/Us/We/Shelly Europe - shall mean the developer and owner of the Shelly X Portal, owner and administrator of the Marketing website – Shelly Europe Ltd., a company registered according to the laws of Republic of Bulgaria, entered in the Commercial register to the Registry agency under UIC 202320104, having its seat of management in the city of Sofia, Lozenets district, 103 Cherni Vrah Blvd.

6. Shelly Ecosystem/the Ecosystem - All services - free and paid, that Shelly Europe Ltd. provides to the customers of their devices, inlcuding but not limited to:

• Hardware devices
• Firmware, with support for API control, local actions, schedules, scripting, OTA updates and more
• Shelly Cloud, offering free user account management, remote monitoring and control of connected devices, scenes, metrics and data aggregation, integration APIs for 3rd party ecosystems, as well as paid Premium subscription with enhanced functionalities
• Shelly Smart Control mobile app allowing remote control of devices associated with the customer's account, visualization of device status & analytics
• Customer support
• Sales channels / distribution network for Shelly smart devices and smart devices from other manufacturers

7. Shelly X Portal/the Portal - a developer portal for setting up and configuring Shelly X Modules by creating Products through the functionalities available. The Portal is accessible at https://x.shelly.cloud, including any subpages and subdomains, and all associated services.

8. Product - electronic configuration for Shelly X Modules created by the Service User to define the behaviour of a Shelly X Module when integrated into a hardware device or appliance or running on a Shelly X Developer Board. The product configuration can be applied to the Shelly X Module at Service User discretion either via the Portal, via software tools supplied by the Service Provider, or during the initial provisioning of Shelly X Modules at the factory.

9. Shelly X Module - a small form factor embedded wireless module solution intended for integration into real-world devices and appliances to enhace them with smart connected capabilities, which allow remote control through a mobile phone, tablet, PC, home automation system or API.

10. Shelly Development Board - hardware tool to ease experimentation, development and configuration of Shelly X Module solutions. The development boards also serve as a reference design and implementation for integrating Shelly X Modules in devices and appliances.

11. Shelly X Service - is a digital service accessible online that allows set up and configuration of Shelly X Modules by creating Products, monitoring of the hardware device or appliance containing Shelly X Modules, connected to Shelly Smart Control.

12. Profile - personal data of the Service User consisting of an email address and a password, and limited personal data, such as country, city and optionally phone number. The Portal uses the Profile to deliver its functionalities, such as product definition, developer tooling, reports and other features that will be added as the Portal is being enhanced.

13. Personal Data - has the meaning given to the definition in the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC .

14. Support Request - questions and requests as regards use of the Shelly X Service, Shelly X Portal, cloud services, connectivity etc.

15. Shelly Support Team - the department responsible for providing customer service. For the avoidance of any doubt, all social media groups and other forums are not a part of the Shelly Support Team and the Service Provider shall not bear any responsibility for any information contained therein.

16. Shelly Smart Control - is a digital service branded Shelly Smart Control, accessible via Shelly Smart Control App or online via https://control.shelly.cloud/#/login, that allows remote access, control and monitoring of Shelly devices and the appliances to which these are attached.

17. Content - any information - any sort of text or media (such as but not limited to animations, videos, audio, images, text description, etc.) that is published on the Marketing website and Shelly X Portal.

18. Suggestion - means all suggested improvements to the Shelly X Portal and Shelly X Service that you provide to us.

III. Subject matter

ARt.4. (1) These Terms govern the relations between the Service Provider and each Service User regarding the use of Shelly X Portal and Shelly X Service.

(2) These Terms are the rules that govern browsing through our Marketing website.

(3) The present Terms do not govern the purchase of the Shelly X Modules. The latter can be purchased through our website www.shelly.com or from our business partners selling them.

(4) These Terms do not apply to products branded Shelly, as long as the usage of Shelly X Portal and Shelly X Service is not condition for the proper functioning of the Shelly Devices.

Art.5. (1) These Terms are mandatory for all Service Users.

(2) By accessing the Shelly X Portal and registering an account, the Service User declares that he/she has read, accepts and is obliged to comply with these Terms unconditionally. The Service User is further obliged to comply with all other conditions imposed by the law, even if not mentioned in these Terms.

(3) In case the Service User disagrees with these Terms, he/she shall not access Shelly X Portal and use Shelly X Service.

Art.6. (1) The Service Provider shall not be liable if the Service User has not read these Terms.

(2) The Service Provider shall not be liable for any damages and/or losses arising from non-compliance on the part of the Service User of the provisions of these Terms and the applicable law.

IV. Your account

Art.7. The access to our Marketing website does not require registration of an account.

Art.8. (1) The access to Shelly X Portal and usage of the Shelly X Service require registration of User Account.

(2) For security reasons the Products created by using the functionalities of Shelly X Portal shall be added to Your User Account and shall be associated only with this User Account.

(3) The registration of User Account in Shelly X Portal requires from the Service User to provide the following data:

1. Full name.
2. E-mail and password.
3. Country.
4. City.
5. Phone number (optional).

(4) It is possible to create a User Account on behalf of, or for the benefit of legal entity/organization with which you are associated. In this case, You acknowledge that You have the legal right and/or authorization to bind that legal entity/organization with these Terms. You will be asked to provide additional registration details, such as: the official name of your legal entity/organization, country, city, phone number (optional).

Art.9. You are responsible for ensuring that all registration details You have provided to Us are correct, complete and up-to-date. You can access and update much of the information you have provided to Us, including your Profile information, in Your Profile area of Shelly X Portal.

Art.10. (1) When creating your User account, You are responsible for maintaining the confidentiality of your Account credentials including password that You use to access the Shelly X Portal and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers and symbols). The Service Provider cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

(2) When creating Your User Account to the extent permitted by applicable law You take responsibility for all activities that occur under your Account and its management. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform Us immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be used in an unauthorised manner.

Art.11. By registration of an User Account You agree that the Service Provider may use Your contact details for communication with You in reference to Your Account, Your Product, claims and requests, may send you notification through the functionalities of the Shelly X Portal or by sending electronic massages to Your email regarding the development and functionalities of the Shelly X Portal, Shelly X Service, Shelly X Modules, Shelly Development Boards. We will not use Your contact details for marketing purposes unless You have explicitly agreed to.

V. Portal functionalities

Art.12. (1) Shelly X Portal is a browser-based tool that enables the Service User to set up and configure our Shelly X Modules by creating its Products through the Portal’s Functionalities and developer resources. There is no limit on the number of Products each Service user can configure in their Account in Shelly X Portal.

(2) Shelly X Portal sets up and configures exclusively Shelly X Modules. The latter can be set up and configured solely through the functionalities of the Shelly X Portal. The product configuration can be applied to the Shelly X Module at Service User discretion either via the Portal, via software tools supplied by the Service Provider, or during the initial provisioning of Shelly X Modules at the factory.

(3) Shelly X Service is provided for an indefinite period and is available free of charge. The use of the Shelly X Service shall remain in effect unless and until terminated by the Service User or the Service Provider as provided herewith.

(4) The Portal allows the Service User to:

1. Manage their Product configurations in accordance with their specific requirements, make changes in the created Product if such are needed.
2. Access publicly available documentation about Shelly X Ecosystem.
3. Obtain reports and analytics.
4. Receive important information, messages and notifications which concern the development and functionalities of the Shelly X Portal, Shelly X Service, Shelly X Modules, Shelly Development Boards, etc.

Art.13. (1) The Service Provider uses reasonable care and skill to keep the Shelly X Service operational and provides the Service User with the user experiences that is normally expected for this type of service. However, the Shelly X Service features and their availability may change from time to time such as but not limited:

1. May experience temporary interruptions due to technical difficulties, maintenance or testing, or necessary updates of the Shelly X Service.

2. In order to improve Service User experience and optimize Shelly X Service constantly, the Service Provider reserves the right to provide a replacement, modified and updated versions of Shelly X Service to change, suspend or discontinue any of the Shelly X Service or Shelly X Portal functionalities without prior notice to You. After a new version of the Shelly X Service is released, the Service Provider does not guarantee that older versions of the Service will continue to be usable. In addition, the Service Provider may stop (permanently or temporarily) providing Shelly X Service or any features within the Shelly X Portal. The Service Provider shall not be held liable for any loss or damages occurred as a result of replacement, modification, and updated version of Shelly X Service, including but not limited to the unavailability or the lack of support to previous version(s) of Shelly X Service.

(2) The Service Provider retains the right to create limits on use and storage at his sole discretion at any time and without prior notice to the Service User.

(3) If updates of the Shelly X Service are necessary to keep the Shelly X Service in conformity, including security updates, We will provide the updates free of charge. The choice to install or not the software updates is at Service User’s sole responsibility. The Service Provider shall not be liable for any lack of conformity of the Shelly X Service caused by failure of the User to install the provided updates in a timely manner.

(4) The Service User shall make all arrangements necessary to have access to Shelly X Portal and Shelly X Service and shall ensure that all persons who have access to Shelly X Service are aware of these Terms and that they comply with them.

Art.14. (1) The Service User can at his/her discretion change the manual settings of the Shelly X Portal at any time through the settings manual. All system notifications such as push-up and/or e-mail event notification can be enabled/disabled at any time through the Settings Manual.

(2) In case the Service User has subscribed for receiving marketing information through channels such as e-mail, push notification send in the Shelly X Portal, or other communication channels he/she has an easily accessible way to opt-out at any time through the Setting manual or via the active link provided at the bottom of the marketing message.

Art.15. (1) The technical requirements and compatibility of Shelly X Modules are described in the documentation provided with them upon their purchase or available online under the "Knowledge Base" section in our website https://kb.shelly.cloud/knowledge-base/

(2) The Service User is obliged in advance to inform himself/herself of whether the electronic device(s)/appliances, development boards, etc. where Shelly X Modules are going to be installed/embedded comply with the technical requirement necessary for the proper functioning of the Shelly X Service and Shelly X Modules. Due to the risk of electric shock the installation of Shelly X Modules must be performed carefully by a qualified electrician.

(3) The Service Provider is not liable for any loss and/or damages in case of the improper or impossible functioning of the Shelly X Modules or Shelly X Service, when the Service User has not complied with his/her obligations for ensuring the minimal technical conditions for Shelly X Modules use, its installation, operating or storage conditions.

VI. Rights and obligations of the Service User and Service Provider

Art.16. (1) Upon use of the Shelly X Service the Service User is obliged to comply with these Terms, as well as with all other conditions imposed by the local applicable laws and international law, even if not mentioned in these Terms. The use shall remain in effect unless and until terminated by the Service User or the Service Provider as provided herewith.

(2) The Service Provider has the right at its solo discretion to suspend, prohibit or limit access to the Shelly X Portal and/or some of its features temporarily or permanently by a specific Service User or in general case of an established or assumed abuse by the Service User or third parties of these Terms, the applicable law or any third party rights, as well as in compliance with an order of a competent authority and/or in fulfillment of a statutory obligation and in cases of unusually high traffic and other technical grounds. The Service Provider shall not be liable for any eventual or sustained loss or damages of the Service User that may occur as a result of such actions nor is the Service Provider obliged to provide any explanation or enter into any correspondence with the Service Use.

Art.17. (1) The Service User is obliged to and is liable for all provided Data in connection to the registration with the Shelly X Portal - to be true, complete, accurate and up-to-date as of the date of the registration.

(2) The Service Provider shall not be liable for any loss or damages that may occur for the Service User due to the provision of incorrect, incomplete or false data (for example inability to access the account, to use the Shelly X Service, to change profile settings, to receive customer support etc.)

Art.18. The Service User is solely responsible for the activity that occurs on the Service User’s account, and must keep his/her account password secured. The Service Provider shall not be held liable for any damages and/or loss caused by any unauthorized use of the account due to acts and omissions on the part of the Service User. The Service User must immediately notify the Service Provider in case of breach of security or unauthorized use of his-her Account.

Art.19. (1) The Service User is obliged:

1. not to use the Shelly X Service in any way that could damage the Shelly X Service, Shelly X Portal, Shelly X Modules or the Service Provider’ s general business.
2. not to use Shelly X Portal and/or its functionalities for any unlawful purpose or any purpose prohibited under this clause.
3. not to use any “deep-link”, “robot”, or other automatic or manual device, software, program, code, algorithm or methodology, to access, copy or monitor any portion of the Shelly X Service, Shelly X Portal, its website or in any way reproduce or circumvent the navigational structure or presentation of the Shelly X Portal.
4. not to gain or attempt to gain unauthorized access to any portion or features of the Shelly X Portal, Shelly X Service, its website or any other system or network connected to them, by hacking, “password-mining” or using any other illegitimate method of accessing data.
5. not to probe, scan or test the vulnerability of the Shelly X Portal, its website or any network connected to the Shelly X Portal or the website, nor breach the security or authentication measures of the Shelly X Service or any network connected to the Shelly X Portal.
6. not to reverse look-up, trace or seek to trace any information on any other visitor to the Shelly X Service, including but not limited to personal information or other information that reasonably could be used to connect non-personal information to personal information.
7. not to use any device, technology or method to interfere or attempt to interfere with the proper functioning of the Shelly X Portal and its features or any transactions occurring on the Shelly X Service, or with any other person’s use of the Shelly X Service, such as computer virus and/or malware/malicious software.
8. not to take any action that would cause an unreasonably or disproportionately large load on the infrastructure of the Shelly X Portal, its website or our systems or networks, or any systems, or networks connected to the website, to the Portal or to us or similar attack.
9. not to use the Shelly X Portal or its website:
   • to harass, abuse, or threaten others or otherwise violate any person’s legal rights.
   • to violate any of the Service Provider’s intellectual property rights or any third party rights.
   • to perpetrate any fraud, including but not limited to engage in or create any unlawful gambling, sweepstakes, or pyramid scheme.

(2) In case of a violation of the Terms by the Service User, the Service Provider shall reserve the right at its sole discretion to prohibit, suspend access to the Shelly X Service and or Shelly X Portal temporarily or permanently. We shall not be liable for any damages You have or may have suffered as a result of such actions.

(3) The Service Provider shall keep the right at its sole discretion to limit the access of any person to the Shelly X Portal, and/or some of its functionalities in case of a doubt or establishment of abuses and in order to protect our rights and those of third parties, which might be affected, as well as in cases of unusually high traffic and other technical grounds. We shall not bear any responsibility for the eventual damages sustained or might sustained by the Service User as a result of such actions.

Art.20. (1) The Service User is obliged to settle his/her relations with an Internet provider of the local and mobile network and the services and settings of the operator necessary for the operation of the Shelly X Modules, Shelly Development Boards and the Shelly X Service are available.

(2) The Service Provider shall not be liable for the improper functioning of the Shelly X Service, Shelly X Modules or Shelly Development Boards when it is due to lack of or low quality of the Internet connection.

VII. License for use of Shelly X Service

Art.21. Subject to and in consideration of your full compliance with the Terms, the Service Provider grants to You for the entire term of Your use of the Shelly X Portal and throughout the world the non-exclusive, personal, worldwide, royalty-free, non-assignable and non-exclusive, non-sublicensable license to use the Shelly X Service.

Art.22. If the You provide any Suggestions to Us, We will be entitled to use the Suggestions without restriction. You hereby irrevocably assign to us all right, title, and interest in and to the Suggestions and agree to provide us any assistance we require to document, perfect, and maintain our rights in the Suggestions.

VIII. Intellectual property and confidentiality

Art.23. (1) The Service Provider has and retains all its rights over the intellectual property on or related in some way to Shelly X Portal, Shelly X Modules, Shelly Development Board and/or the Shelly X Service, including but not limited to its software, interface, content, functionalities, logos, graphic images or inscriptions, commercial symbols, dynamic symbols, texts and/or multimedia Content etc. irrespective of whether these are its own or received by way of contractual licenses or in any other manner.

(2) All Shelly trademarks, service mark, trade names, logos, domain names, and any other features of the Shelly brand (Shelly Brand Features) are sole intellectual property of the Service Provider, or the Service Provider has all rights on their use. These Terms do not grand the Service User any rights to use any Shelly or Brand Features, whether for commercial and non-commercial purposes.

(3) Nothing in these Terms shall be deemed permission on the part of the Service Provider to the Service User to reproduce, copy, recompile, disassemble, reverse engineer, create derivative works or modify in any other manner any part of the Shelly X Service or Shelly X Portal, including by entering any external content thereto.

Art.24. The Shelly X Service is licensed, not sold or transferred to the Service User, and the Service Provider retain ownership of all copies of web interface software even after access via internet browser.

Art.25. The Shelly X Service is dedicated to personal use. Each misuse of the Shelly X Service for other purposes, other than those explicitly permitted under these Terms is prohibited and shall be considered as a violation of these Terms and a violation of the intellectual property rights of the Service Provider.

Art.26. In case of violation of the above-mentioned by the Service User the Service Provider shall have the right to suspend his/her Account, terminate provision of the Shelly X Service and seek indemnification for the suffered thereof damages and losses.

IX. Limitation of liability

Art.27. (1) The Service User is solely responsible for his own use of the Shelly X Portal and Shelly X Service and for any direct, indirect, incidental, special, punitive or consequential loss or damages, including any loss of business or profit, arising out of any use, or inability to use, that may occur to him, or any third party including but not limited Service User’ customers, other users of services, employees, agents, consultants, directors, officers, representatives, consultants, partners, etc. THE ACCESS AND USE OF SHELLY X SERVICE ARE AT SERVICE USER’S SOLE RISK AND IS PROVIDED "AS IS," "AS AVAILABLE." SHELLY X SERVICES ARE FOR YOUR PERSONAL USE ONLY AND THE SERVICE PROVIDFER MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES ON MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR NON-INFRINGEMENT.

(2) The Service User will exercise and rely solely on his own skill and judgment in the use and interpretation of the information in Shelly X Portal and Shelly X Service. Any use of the electronic configuration created by the Service User and its proper application to Shelly X Modules (via the Portal, via software tools, or during the initial provisioning of Shelly X Modules at the factory) are the sole responsibility of the Service User. The Service User is solely responsible for the proper functioning of the electronic configuration, created by him and for any consequences thereof - for any direct, indirect, incidental, special, punitive or consequential loss or damages, including any loss of business or profit, arising out of any use, or inability to use, that may occur, including the use of those configurations by Service User’s customers, other users of services, employees, agents, consultants, directors, officers, representatives, consultants, etc. The Service User shall at his own expenses and risks ensures that his use of the Shelly X Services complies with all applicable legal requirements, including make all necessary tests that cover the whole functionality of the behaviour of a Shelly X Module when integrated into a hardware device or appliance or running on a Shelly X Developer Board, before placing them on the market.

(3) The Service Provider shall not be held liable for any loss or damages that may occur for the Service User or any third party including but not limited Service User’ customers, other users of services, employees, agents, consultants, directors, officers, representatives, consultants, partners, etc. in case any malfunctions of the Shelly X Service occur or the Shelly X Service became fully or partially unusable, or hardware device or appliance or Shelly X Developer Board or other developer board where Shelly X Module is installed are damaged due to improper configuration, created by the Service User causing harmful behavior of the configuration.

(4) The Service Provider shall not guarantee or assume any responsibility that:

• The information presented in Shelly X Portal is accurate, adequate, complete or up-to-date and that they will be always available or be uninterrupted.
• The information presented in Shelly X Portal is free of defects, errors, omissions, viruses or anything which may change, erase, add to or damage your software, data or equipment.
• Messages sent through the internet including in connection with the Shelly X Service and or Shelly X Portal will be free from interception, corruption, error, delay or loss.
• Access to Shelly X Portal and or Shelly X Service will be available or be uninterrupted.
• Any defects in the Shelly X Service will be corrected.

(5) The Service Provider has no liability to the Service User, nor any obligation to provide a compensation in connection with internet or other service outages or failures that are caused by third parties or events beyond of the Service Provider control.

(6) The Service Provider make no representations, warranties or guarantees, whether express or implied that Shelly X Portal will operate without defect, interruption or error, and no compensation can be claimed in case of direct or indirect damage of any kind caused by a failure of Shelly X Portal or arising from using the Shelly X Portal Services, including but not limited to indirect, incidental, punitive, exemplary, special or consequential damages, loss or leakage of data, loss of customers, loss of turnover, damage to image or loss of opportunity of any kind.

(7) The Service Provider and Service User shall not be held to be in default in the event of delay or non-performance due to a case of force majeure usually recognized by jurisprudence, for example in the event of a natural or climatic disaster, conflict involving the armed forces, act of terrorism, riot, epidemic, embargo, flood, shortage of energy or raw materials, cut-off or restriction of the Internet networks, etc. The case of force majeure suspends the obligations of the Parties whose performance is thus prevented.

(8) The limitation of liability contained in these Terms shall apply to the fullest extent permitted by the applicable laws.

X. Indemnity

Art.28. You undertake to defend, indemnify and hold Us and our affiliates harmless from and against all liabilities, damages, claims, actions, costs and expenses (including without limitation legal fees), in connection with or arising from the use or misuse of the Shelly X Portal, Shelly X Service, Your breach of these Terms, or Yours conduct or actions. We may, if necessary, participate in the defence of any claim or action and any negotiations for settlement. No settlement which may adversely affect our rights or obligations shall be made without our prior written approval.

XI. Termination

Art.29. (1) The terms of Shelly X Service will continue to apply until terminated by either You or Us in the cases provided for in these Terms.

(2) You may end your agreement with Us at any time for any reason by deleting your Account and discontinuing your use of the Shelly X Service.

(3) We may terminate the agreement with you at any time for any reason, including, but not limited to, if we reasonably believe: (i) You have violated these Terms or (ii) You create risk or possible legal exposure for us; or (iii) our provision of Shelly X Services to you is no longer commercially viable iv.) in all cases specified in the current Terms.

(4) Nothing in this section shall affect our rights to change, limit or stop the provision of the Shelly X Service without prior notice, as provided above in art.13 of these Terms.

(5) In the event of termination of Shelly X Service, the Service Provider shall permanently suspend all rights of use and access to the Shelly X Portal as of the date of termination of the Shelly X Service.

XII. Personal data

Art.30. (1) Upon registration in Shelly X Portal or accessing the Website, grounds for collection and processing Your personal data may arise and personal data might be processed. The purpose of the processing of your personal data is providing the Shelly X Service within Shelly X Portal upon registration and the basis for the processing is the fulfilment of our contractual and pre-contractual obligations and our obligations under applicable law. We process your personal data when you access the Website for the purposes of the legitimate interests pursued by Us.

(2) We enable You to get acquainted, in an easy and User – friendly manner, with our Privacy Policy and Cookies Policy.

XIII. Marketing

Art.31. (2) The Service User, on his responsibility should read these Terms regularly and familiarize himself with the amendments (if any). Service User’s continued use of the Shelly X Portal and its functionalities following the implementation of amendments will constitute binding acceptance of those amendments.

Art.33. If any provision of these Terms is deemed as abolished, invalid or unenforceable, such provision shall be considered as severable, and shall not affect the validity and enforceability of the other provisions.

Art.34. The Service Provider has the right to transfer all or part of its rights and obligations for service to its affiliates by announcement at its Website or email.

Art.35. All disputes arising out of the implementation of or in connection with these Terms shall be settled by mutual negotiation. In event of failure to reach a mutual agreement by negotiation, all disputes shall be governed and construed in accordance with the laws of Republic of Bulgaria. Shelly X Portal (the Portal) is a developer portal for setting up and configuring Shelly X Modules by creating Products through the functionalities available. The Portal is accessible at https://x.shelly.cloud, including any subpages and subdomains, and all associated services.

Shelly X Service is a digital service accessible online at Shelly X Portal that allows set up and configuration of Shelly X Modules by creating products, monitoring of the hardware device or appliance containing Shelly X Modules, connected to Shelly Smart Control.

6. ABOUT THE SHELLY X PORTAL

Shelly X Portal is a browser-based tool that enables the Service User to set up and configure Shelly X Modules by creating its products through the Portal’s Functionalities and developer resources.

Shelly X Portal sets up and configures exclusively Shelly X Modules. The latter can be set up and configured solely through the functionalities of the Shelly X Portal.

Shelly X Module is a small form factor embedded wireless module solution intended for integration into real-world devices and appliances to enhance them with smart connected capabilities, which allow remote control through a mobile phone, tablet, PC, home automation system or API.

The use of Shelly X Portal requires registration of the Service User by the registration of account (“the Account”).

By registering an Account and through the functionalities of Shelly X Portal the Service user may create Product – an electronic configuration for Shelly X Modules created by the Service User to define the behavior of a Shelly X Module when integrated into a hardware device or appliance or running on a Shelly X Developer Board (“the Product”). The product configuration can be applied to the Shelly X Module at Service User discretion either via the Portal, via software tools supplied by the Service Provider, or during the initial provisioning of Shelly X Modules at the factory.

The information that we collect, and how that information is used, depends on how you use our Shelly X Portal and how you manage your privacy controls via the Portal settings and the settings of the Terminal Device on which you use it.

7. TYPES OF PERSONAL DATA THAT WE PROCESS:

7.1. On a contractual basis for the provision of the Shelly X Service in accordance with Art. 6(1)(b) of GDPR We process data about:

Your Account, your Products and Shelly X Module when integrated into a hardware device or appliance or running on a Shelly X Developer Board, the Terminal Devices on which the Shelly X Service is used, as well as data derived from the settings of the Shelly X Service and/or the settings of your Associate Services or browsers, Your interaction with the Shelly X Service.

7.1.1. Account data

We process User’s data that you have directly provided to us when creating Your Account, interacting with the Shelly X Portal using its features or when contacting our support team directly:

• Names;
• Email address;
• Password;
• Country;
• City;
• Phone number;
• Data generated by you during a customer support request such as e-mails, messages, history of the correspondence, any correspondence content, sender and recipient information or data generated during consultations with our business team about Shelly X Portal, Shelly X Service, Shelly X Modules or other Shelly devices.

Purpose for processing Account Data:

We are using the Account data for the purpose of performing the contract in accordance with Art. 6(1)(b) GDPR to:

• verify the User’s authentication and identification in order to ensure access control to Your Account and Your Products therein;
• Initiate and provide the Shelly X Service to You and to ensure its proper functioning;
• Ensure the security of your Account and your Products;
• Process of customer support rеquests or any correspondence with our business team that You might have send to us in reference to the Shelly X Portal and or Shelly X Service;
• Communicate with You in reference to the Shelly X Service, Shelly X Portal and send you Shelly X Service or Shelly X Portal updates or other relevant information (including reminders, confirmations), as well as providing you the necessary customer support when requested;

7.1.2. Product Data and Service Usage data

For providing You with the functionalities of Shelly X Portal we are also processing information about the Products that are added to Your Account including the information about your interaction with the Shelly X Portal and Shelly X Service, as well as information about of the Shelly X Module(s) when integrated into a hardware device or appliance or running on a Shelly X Developer Board on which you have set up and configured Shelly X Modules, that is technically necessary for the provision of the Shelly X Service.

By adding a Product to Your Account, you are sharing the information generated and stored by this Product (such as Product ID, IP address, MAC Firmware version, set up actions or other configurations that you have set up on the Product). This information is necessary for providing you the Shelly X Service and the functioning of Shelly X Portal features. For stop sharing this information You can always remove the Product from Shelly X Portal.

When You create a Product in Shelly X Portal and adding it to Your User Account, as well as when you share information from the Shelly X Service with other applications and services (Associated Services / Integrators) We automatically process:

• Information regarding the created Product – name, status, product type, goal, product description, module model, configuration version, date of creation;
• Information regarding the current configuration of the Product - device name, prefix, inputs, outputs, LED type, Wi-Fi network;
• Information regarding the development: Latest active devices in development mode - first seen, device Id, IP address, MAC Firmware version.
• Network and Server credentials;
• Information about associated Services, browsers and Terminal Devices that You use to access our Shelly X Portal including Terminal Device type and network provider, unique identifiers such as IP address and MAC address, operating system and OS version;
• Log information such as Service logs, including crash and diagnostic reports, Service launches, taps, clicks, or other information about how the user interacts with Shelly X Portal;
• Geolocation of the devices or appliances, designed and manufactured by You, enhanced with the capabilities of the Shelly X Modules;
• Information from reports, such as on/of modes, schedules, actions, device measurements and electricity consumption data depending on the devices or appliances, enhanced with the capabilities of Shelly X Modules (including historical consumption and measurements data);
• Other information about how you’re using Shelly X Portal or Shelly X Service;

Purpose for processing Data of Your Products and Service Usage data:

• Provision of the Shelly X Service – to enable You to set up and configuration of Shelly X Modules by creating products, monitoring of the hardware device or appliance containing Shelly X Modules, get precise measurements of the power consumption of the hardware device or appliance containing Shelly X Modules (including historical data), switch them on/off remotely and performing the set up actions, we need information about the hardware device or appliance containing Shelly X Modules and their connectivity to each other, to the network and to our system. Further to provide you with some features of Shelly X Portal and Shelly X Service such as the scheduling and powermetering we need to know the geolocation of the the hardware device or appliance containing Shelly X Modules;
• Processing of customer support rеquests or correspondence with our business team;
• Sending notifications through the Shelly X Portal, including push-up, or e-mail system notifications about the Shelly X Portal, Shelly X Service or Shelly X Modules, including event notifications if set-up;

7.2. On the basis of your explicit consent, expressed via the Shelly X Portal settings or by deliberate actions within the Shelly X Portal we may process further Product Data and Service Usage in accordance with Art. 6(1)(a) of GDPR.

For providing You certain specific features of the Shelly X Portal, depending on the type of the available Shelly X Service options We may also process further information about the Your Products that you have manually set using the Shelly X Service settings.

Data derived from the settings of the hardware device or appliance or Shelly X Developer Board, where Shelly X Module(s) were integrated and/or the settings of your Associate Services, Terminal Devices or browsers;

• Interactions history of the Shelly X Service and Your Products usage (user logs);
• Other information of your choice, that you provide through the settings of the Service, Associated Service or Terminal Devices;
• Other information about the way you use the functionalities of the Shelly X Portal;

You may control the processing of these data at any time through the settings of the Shelly X Portal and the Terminal Device on which you use it. These shall not prejudice the legality of the processing based on your interactions with the Shelly X Portal and settings given before their change.

You can initiate and stop sharing information of a selected Product with third parties and services at any time by using the features of the Shelly X Portal. Please take into account that upon sharing Your Data with third parties and services this Privacy Notice shall not apply to the processing of the shared Data by these parties and services.

Purpose for processing Data of your Devices

• Provide you personalized information and solutions based on your interactions with Shelly X Portal such as monitor and controlling the hardware device or appliance containing Shelly X Modules, precise measurements and consumption, and switching on/off remotely according to the schedule or the set technical criteria;
• Authentication, verification and control of the access to your Account including enabling and control of device sharing;
• Sending of notifications (including Shelly X Portal notifications such as push-up or e-mail) based on event log of the Your created Product;
• Processing of support rеquests;
• Further Account and Product Data that we process based on your explicit consent:

You may withdraw your consent at any time through the unsubscribe link at the bottom of the relevant marketing message, as well as through the settings of Your Account. Upon withdrawal of the consent, processing of the respective type of personal data shall be terminated for the stated purposes. Data processed for providing You the Shelly X Service (Account and Product Data and Service Usage data) is processed for as long as You have an active User Account, or as long as required under our legal obligations in the respective countries we operate.

Data processed based on our legitimate interest is only kept for as long as needed for the specific purposes for which they were collected.

Data processed based on your consent are retained until You withdraw your consent. Upon withdrawal of Your consent, we will stop processing your Data that relies on your consent, but it will not impact the processing of data collected prior to Your withdrawal until the purposes for which such Data were collected have been achieved.

Data processed in compliance with legal obligations, are processed within the statutory retention period as per the applicable law.

Following the expiration of the above-stated time limits, the Data is deleted and may not be retrieved and used any longer.

The data shall not be deleted but shall continue to be processed only for protection of our legitimate rights and interests or in compliance with our legitimate obligations, in the event that as of the date of expiration of the above stated time limit there is pending court, administrative and pre-court proceedings – until its closing.
